Location: Denver, CO
The SEC Reporting Manager is responsible for ensuring the accurate and timely preparation of the Company's SEC filings. This position provides support for adherence with Sarbanes-Oxley (SOX) compliance and assists with ensuring the internal control environment is sufficient for certification and public filings.
Responsible for moderately complex accounting month-end, quarter-end and year-end activities in accordance with US GAAP
Assists with the preparation and coordination of SEC filings of quarterly reports on Form 10-Q and annual report on Form 10-K including updates to the Business Overview, Risk Factors Management's Discussion & Analysis, Financial Statements, and Footnotes and related supporting schedules
Assists with the development, preparation and review of XBRL detail tagging utilizing Merrill Bridge
Assists with the preparation the annual Proxy filing
Reviews and analyzes data provided by other accounting team members to ensure reasonableness, accuracy, consistency and proper application of GAAP supporting the related SEC filings
Completes for review and sign-off disclosure checklists for GAAP financial statements, MDA and
SEC financial statements
Prepares and analyzes monthly accounting records, including financial statements and supporting schedules to assess accuracy, completeness and conformance with accounting and financial reporting standards
Coordinates adherence to the monthly, quarterly and annual SOX controls, evidence of review check lists, and sign-off requirements
Prepares SSAE 16, SOC I evaluations of third-party providers for review and sign-off
Updates SOX control narratives working closely with process owners
Periodically updates Segregation of Duties and related AX system access for review and sign-off
Supports the development and maintenance of technical accounting policy and position memos
Develops systems for the maintenance of financial and accounting records
Works closely with accounting and other groups to ensure the timely and accurate completion of key activities associated with the company's reporting processes
Maintains up-to-date knowledge of the financial reporting and compliance changes that may impact the business.
Implements policies and procedures under the guidance of the Corporate Controller
Provides ad-hoc metric data, trends and reporting results to Corporate Controller
Maintains ethical behavior and conduct
Ensures policies, legislation and procedures are adhered to: including company SOPs, 21 CFR Part 11 and Sarbanes-Oxley (SOX) compliance, as appropriate to position
Performs other duties as required
Supervise/manage/direct the selection, training, development, appraisal, and work assignments of personnel. This position demonstrates leadership ability by acting as an important part of the Aytu BioPharma team.
Receive general guidance with respect to overall objectives. Operate within company and department policy guidelines using independent judgment in achieving assigned objectives.
Knowledge, skills and abilities:
Ability to read, analyze and interpret general business periodicals, professional journals, technical procedures or applicable regulations.
Ability to write reports, accounting, financial and business correspondence and procedures.
Ability to effectively present information and respond to questions from management
Ability to calculate figures and amounts such as discounts, interest, commissions, percentages, and allocations
Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
Ability to interpret a variety of instructions furnished in written, oral, diagram or schedule form.
Continually support and display collaboration skills, ethical conduct and attention to detail
Advanced in Microsoft Excel, implementing ERP systems, and proficient in other Microsoft Suite software
Bachelor's degree in accounting or finance
Active CPA designation
7 years plus of experience in accounting; 3 years of public audit firm experience preferred, 4+ years of experience in the financial reporting and SOX compliance areas with a public filer
Thorough US GAAP accounting and financial reporting knowledge, understanding of corporate financial processes, and demonstrated experience with implementing and enhancing internal controls over financial reporting
Experience with SEC filings of forms 1OK, 1 OQ and Company Proxy
Experience with MS Dynamics AX systems and Management Report writer a plus
Implementation experience of Merrill Bridge with XBRL a plus
Well-lit, heated and/or air-conditioned indoor office, manufacturing and warehouse setting with adequate ventilation
This position is sedentary role at most times, however it will require some filing on most days and the ability to lift files, open filing cabinets, bend and stand, as necessary.
